Questions about investing in Aptera

I received a similar email saying my funds did not go through yet my credit card clearly shows I made two purchases. I took a screen shot and sent it to their investor email address.

Same here. I received an email saying the funds transferred successfully. I checked my credit card account and can see it has been posted on the account. Then I get an email saying they have not received the funds with the same threat of cancelling the investment. I sold stock to get the cash to invest in Aptera. That stock has gone up $7 a share since I sold it, so I have already incurred an opportunity cost associated with investing in Aptera. If they cancel my investment, that will leave a very bad taste in my mouth, even as one of there most ardent supporters. I think they need to turn their full attention to resolving these issues, because their reputation is on the line.

@John Wiley We use one provided by Fidelity due to our investments. I think its the same (or similar) to the one offered at https://www.fidsafe.com/

A reasonable alternative is something as simple as a shared google drive folder. I wouldn't put overly sensitive info there, but it would work for this.

Dropbox offers 'Vault' which I haven't used, but seems pretty reasonable.

sync.com seems to offer a decent free starter plan and reasonable to upgrade.

I've also used SmartVault in the past for work, but not personally.

Also, some banks offer this type of electronic storage, but I would be a bit careful to know what happens when they find out you died yesterday. If the files get locked, it may not do you as much good as you think. Ask about virtual safe deposit boxes.

@Mark E This is good to hear. I know a lot of us have made an investment and have pretty much been left waiting to hear a heartbeat about it. I've been trying to be patient (I'm not a patient person normally) and letting the process work, but the silence has been a bit deafening.

I know in the investment world, there are MANY restrictions on what can and can't be said and from a compliance side, its easier to not say anything then to risk saying something that gets interpreted different then you meant.... so I've been patient.... but....

Now, I get to get excited again..... Next week 😉

I got to get excited today... My stock certificate just arrived in my inbox. I feel official now 😁

@Silencz I noticed on the https://portal.aptera.us/ site they needed more info. Of which I'm positive I gave last week......as of now the status is "Funds Processing". Fingers crossed!

@Randy #20820 It says Funds Processing even after they received funds and transfer it into escrow. I think it says that before so as well.

@Randy #20820 Oh, actually, for my first investment it says Funds Processing as well, and that one was already made official, so I guess it just says that no matter what.

@seacliffny $50 million is what they were seeking for their latest investment round and they just closed it. They would likely only do that if the goal was reached. They probably wouldn't announce it until all funds have cleared.

@Silencz Was there an announcement about them closing? I know I received an email about my investment being official late yesterday. Is that the indication the round closed? Or was there a press release? (Sorry if these are basic questions. I've never invested in this type of funding round before.)

@seacliffny Yes, there was announcement on Saturday, June19, that this round will close at midnight PST that day. I think most got an email a day before that, and it was also posted on some media sites.

OK, I already did. Wish it had been clear on page 1 as I transfered my money already thinking it wasn't possible as it requested date of birth etc.

@Andreas Blomst I had the same problem. It took WeFunder about 5 months to return my money. The December 2020 campaign was oversubscribed. The SAFE Agreement that you received must be missing critical information like number of shares, how much investment you have made. If all the pertinent information about your investment was filled and you have saved a pdf copy in your computer, you can contest that. I would contest it if you have proof that your subscription was accepted and you have concrete proof to support it. You are talking about 400% increase in valuation from $40M last year to $200M this year. FYI. Aptera opted to close its campaign tomorrow June 19th. Now is the time to invest if you are planning to.

@Marita Hi Marita, thank you for the sound advice, and I have already more than doubled my position with Aptera during this latest round! I do have both digital and hard copies of the SAFE, here is the first paragraph for reference (I removed invested amount):

THIS CERTIFIES THAT in exchange for the payment by Andreas Blomst (the “Investor”) of $XXXX.XX (the “Purchase Amount”) on or about , Aptera Motors Corp, a Delaware corporation (the “Company”), hereby issues to the Investor the right to certain shares of the Company’s capital stock, subject to the terms described below. This Safe is one of the forms available at http://ycombinator.com/documents and the Company and the Investor agree that neither one has modified the form, except to fill in blanks and bracketed terms, and remove the requirement to be accredited investor. The “Post-Money Valuation Cap” is $40,000,000 The “Discount Rate” is 100%

I think this is pretty Iron clad, Im not sure how this could be reversed against my will at this time.

@Andreas Blomst I looked at the communication I had with Dorianne Ma, Operations Manager of WeFunder. She said that the SAFE Agreement that I received did not have the signature of the Founder. That means that my subscription did not make it to that round. Did yours have Chris or Steve's signature? I invested 3x in Aptera or more. But, the earlier SAFE Agreement that I received indeed have Chris Anthony's signature. If yours were signed, you really have an iron-clad SAFE Agreement. WeFunder has a lot of complaints in BBB. I stopped looking at WeFunder's platform after I found out that about 4 of my investments were not properly accounted for. It was so disappointing. Good luck! I hope you get the shares you subscribed for. Caveat, take care of yourself. Make sure you don't stress out yourself getting it from WeFunder. They have this M.O. that they stop or won't answer emails from Investors. I think that the only way for them to answer you is when you have a lawyer write them.

@Glenn Stockton Helmet/Licensing requirements vary in the different jurisdictions (State-Country-Province) Discussed in multiple threads on this forum. Check with your municipality before consuming. @Ozman ...Paradigm Plus Thanks for setting me straight on this. From a variety of sources, at the very least, it seems *very few* states currently require helmets for enclosed 3-wheelers... Another article from distant 2018 – The Drive – similarly says: "While they are still registered as motorcycles, neither a motorcycle license nor a helmet is required to operate them in *most* states thanks to Elio's efforts." Not sure how this has changed since 2018, but I suspect that by the time Aptera reaches production, such will be universal. We shall see. But, yes, of course checking local laws is essential. For example: In our state of Washington, per RCW46.37.530, helmets are not required as long as all these requirements are met, the vehicle has: (i) Steering wheel;

(ii) Seat belts that conform to standards prescribed under 49 C.F.R. Part 571; and

(iii) Partially or completely enclosed seating area for the driver and passenger that is certified by the manufacturer as meeting the standards prescribed under 49 C.F.R. Sec. 571.216.

If you invested $100 at $40M valuation last year, it means that the value of your investment now is $500 should there be an exit happening this year.

@David Marlow you are right, Aptera is much better fundraising through their own investment portal. I invested a considerable amount through WeFunder. I only found out my investment did not make it through its last round on WeFunder four months later. WeFunder took almost five months to refund my money.

We are excited too! The shares will be converted when there is a triggering event, likely either Aptera going public or being acquired.

Just a technicality, but you are buying Class B shares, non voting stock.
